RW FITNESS LLC

Privacy Policy

Effective Date: September 15, 2026

1. Overview

RW Fitness LLC (the "Trainer", "we", "our" or "us") is the owner and operator of the coaching services described herein ("Services"), which are made available to clients ("Users") online and, where applicable, in person. The Trainer, at its sole discretion, has the right to develop, improve and update the Services and any associated platform. The Services are delivered in part through a third-party coaching platform that provides client accounts, workout delivery and progress tracking (the "Platform"). The Platform is currently operated by FitBudd Inc., including any of its subsidiaries (the "Platform Provider"). The Trainer may change the Platform or Platform Provider at any time and will update this Policy accordingly.

The Trainer attaches high importance to the privacy and protection of our Users' personal data. Our practices regarding the collection and use of personal data are set out below. We have implemented reasonable security practices and procedures commensurate with the information assets being protected and the nature of our business. Because of the inherent vulnerabilities of the internet, we cannot ensure or warrant complete security of information transmitted to us. This Privacy Policy should be read together with our Terms of Use. This Privacy Policy is subject to change at any time; please review it periodically. By using our Services, you agree to be bound by this Privacy Policy.

We use a limited set of third-party services to operate our business, including the Platform Provider (client account, workout and progress tracking), a payment processor for billing, and an email service provider for newsletters and client communication. These third parties have access to your information only to the extent reasonably necessary to perform their function, and are expected to maintain reasonable security practices.

This Privacy Policy applies to all Users, including clients enrolled in online coaching, in-person coaching, or both.

2. Information Collection

When you register as a User, you will create a unique username and password (the "Access ID") used to create an account (the "Account"). You acknowledge that certain information — such as your name, age, gender, physical health condition, and email address, and certain additional information ("Personal Information") — may be required to make the Services available to you, or may be disclosed by you through the Services.

As part of onboarding, you will be asked to complete a Physical Activity Readiness Questionnaire ("PAR-Q") and a health history questionnaire. The information you provide in these forms is used solely to assess your readiness to participate in an exercise program, to design an appropriate program for you, and to identify circumstances in which we should decline to proceed or refer you to a medical professional. We treat this information as confidential and do not share it except with service providers necessary to deliver the Services, or as otherwise described in this Policy.

You may be asked to upload photos to assess fitness progress. Personal Information is stored as required under applicable law, and the Trainer will use reasonable efforts to protect photos and other uploaded content, but is not liable for disclosure to third parties (other than the Platform Provider or the Trainer's own service providers) resulting from circumstances outside the Trainer's control.

We do not directly collect or store your full payment card or bank account numbers. Any information necessary to process payments (such as credit or debit card details) is collected and processed directly by our third-party payment processor. We retain only limited transaction information (such as payment method type, date, and amount) for our own recordkeeping. You may contact us at ryan@ryanwilliams.online to amend or rectify your Personal Information, or to request that we stop retaining or using it — though this may limit our ability to provide the Services to you.

We collect information about the pages you access, your device (such as device or browser type), information you send us (such as an email address used to register or communicate with us), and referral information, in order to deliver, customize, and improve our Services.

Any information that helps us identify your location (such as postal code, city, or state) may be used to provide localized features or relevant communications.

3. Purpose of Information Collection

We collect, record, store, handle and use your Personal Information only for the purpose of enabling you to access our Services, unless you opt out of non-essential communication. We use your information to keep you informed of your progress, updated workout and nutrition plans, to calibrate our Services, troubleshoot problems, customize your experience, detect and protect against error or fraud, enforce our Terms of Use, and as otherwise described to you at the time of collection. Photos you upload are used solely to assess and track your fitness progress, unless you separately consent to marketing use as described in Section 4 below.

4. Marketing and Testimonial Use

With your separate, explicit consent, we may use your progress photos, testimonials, or results (which may include your first name) in marketing materials, social media, or our website. This consent is optional and is not a condition of receiving Services. You may withdraw this consent at any time by contacting us at ryan@ryanwilliams.online, though we are not obligated to remove content already published prior to your request.

5. Privacy, Security and Related Aspects

We do not sell or rent your Personal Information to third parties for their marketing purposes without your explicit consent, and we use your information only as described in this Policy and our Terms of Use. We may disclose or transfer your information to our affiliates, agents, and service providers (including the Platform Provider and our payment processor) for business purposes and to provide you a better experience. To the extent permitted by applicable law, the Trainer is not responsible if information provided by a User is exposed or misused by an unauthorized third party. We use standard data encryption (SSL) to protect the transmission of sensitive information.

The Trainer's logos, marks, content, and other intellectual property ("IP") are exclusively owned by the Trainer. You agree not to display or use the IP without prior written permission.

References to third-party names, products, services, or hyperlinks are provided solely for your convenience and do not constitute or imply our endorsement, sponsorship, or recommendation of that third party.

6. Acceptable Use

You are prohibited from violating or attempting to violate the security of our Services, including without limitation: (i) attempting to probe, scan, or test the vulnerability of a system or network, or to breach security or authentication measures without authorization; (ii) attempting to interfere with the Service to any other User, host, or network through a virus, overloading, flooding, spamming, mail bombing, or crashing; or (iii) sending unsolicited emails, including for promotions or advertising. Violations may result in civil or criminal liability, and we may investigate and cooperate with law enforcement regarding such violations.

7. Email

We may send you emails or newsletters regarding our Services. You may discontinue this at any time via the unsubscribe link included in our emails, or by emailing ryan@ryanwilliams.online to request removal from our lists.

8. Legally Required Disclosure

While we will not voluntarily disclose your personal data outside the manner described here and in our Terms of Use, we may disclose such information if required by court order, applicable law, government or law enforcement request, other legal process, or where necessary to protect the rights or property of the Trainer.

9. Your Rights and Requests

You may request access to the Personal Information we hold about you, request that we correct it, or request that we delete it, by emailing ryan@ryanwilliams.online. We will respond to such requests within a reasonable period and, where a specific timeframe is required by applicable law, within that timeframe. We may need to verify your identity before acting on a request, and we may retain information where we are required or permitted by law to do so. Deleting information necessary to deliver the Services may end your ability to use them.

We do not sell your Personal Information. Where the General Data Protection Regulation ("GDPR"), the California Consumer Privacy Act ("CCPA"), or any other data protection law applies to us in respect of your Personal Information, we will comply with the rights and obligations that law imposes.

10. Contact

If you have a query or grievance relating to the use or protection of your personal data, please contact us at ryan@ryanwilliams.online.

11. Health Insurance Portability and Accountability Act ("HIPAA")

Neither the Trainer nor the Services are regulated by HIPAA. You will not receive HIPAA's protections in connection with your Personal Information when using the Services, including information you provide in the PAR-Q or health history questionnaire.

12. Miscellaneous

This Privacy Policy and the Disclaimer provided separately form an integral part of the Terms of Use and should be read together.

Your Personal Information may be stored and processed in any country where we or our service providers (including the Platform Provider) have facilities. By using the Services, you consent to the transfer of information to countries outside your country of residence, which may have different data protection rules.

Capitalized terms used but not defined herein have the meaning assigned to them in the Terms of Use.

RW FITNESS LLC

Terms of Use

Effective Date: September 15, 2026

1. Introduction

1.1. These Services are owned and operated by RW Fitness LLC ("Trainer", "we", "our" or "us"), a Florida limited liability company whose principal place of business is 7901 4th St N, Ste 300, St. Petersburg, FL 33702. Coaching is provided by a NASM-certified personal trainer.

1.2. The Trainer provides online and in-person fitness coaching, including workout programming, general nutrition education, habit coaching, progress tracking, and related content and communication (the "Services"), to clients ("Clients"). The Services may be delivered through the Platform (as defined in the Privacy Policy and currently operated by FitBudd Inc.), direct communication, and in-person sessions. The scope and limits of the Services are described in Section 5.

1.3. Any person using our Services ("User" or "you") is presumed to have read these Terms of Use (which include the Disclaimer and Privacy Policy, provided separately) and to have unconditionally accepted them. These Terms constitute a binding agreement between you and the Trainer.

1.4. By using the Services, you agree to comply with these Terms of Use, including the policies incorporated herein by reference.

1.5. "User" means any natural or legal person who has agreed to these Terms on behalf of themselves or another legal entity.

1.6. "Content" includes, without limitation, information, data, text, photographs, videos, audio, written posts, comments, and interactive features made accessible through the Services, including User Content (defined below).

1.7. These Terms may be revised by the Trainer at its sole discretion at any time. The latest version will be posted on our website. Continued use of the Services after changes are made constitutes your agreement to the revised Terms.

2. Eligibility

2.1. You must be at least 18 years of age and competent to contract under applicable law to use the Services. Your use of the Services represents that you meet this requirement.

2.2. You are solely responsible for your use of the Services and for use of your Account by others. These Terms are void where prohibited by applicable law.

3. Account and Registration

3.1. To use the Services, you must register and create an account ("User Account"). Before creating your Account, you will be asked to read and accept these Terms, the Disclaimer, and the Privacy Policy. Your Account is not transferable, and you are solely responsible for activity occurring through it.

3.2. Information provided during registration will be handled in accordance with our Privacy Policy.

3.3. You are responsible for maintaining the confidentiality of your password. You agree to immediately notify us of any unauthorized use of your Account or any security breach. We will not be liable for any loss arising from your failure to protect your password or Account.

3.4. You may delete your Account at any time through your Account settings or by contacting us. Upon deactivation, these Terms terminate, subject to any outstanding payment obligations under Section 4 and to those provisions which by their nature survive termination, including Sections 6, 12, 13, 14 and 17.

3.5. If we believe there has been a breach of security or misuse of the Services, we may require you to change your password, or we may suspend or terminate your Account at our sole discretion, including upon lawful request of a public authority.

3.6. You agree to provide accurate, current, and complete registration information, keep it updated, and indemnify us against claims resulting from information you provide.

4. Fees, Payment, Guarantee and Cancellation

4.1. Your use of the paid Services is subject to applicable fees ("Fees"), communicated to you prior to purchase. Fees are charged in U.S. dollars and billed automatically on a recurring basis until you cancel in accordance with Section 4.9. Billing begins on your Program Start Date as defined in Section 4.13. Each payment covers a service period of thirty (30) days beginning on the date that payment is received (a "Billing Period"). Billing Periods run in thirty-day increments from the date of payment and do not correspond to calendar months. Fees are subject to change with notice.

4.2. We do not accept payment for Services to be rendered more than thirty (30) days after the date of payment. Each payment covers only the single Billing Period immediately following it, and no Billing Period extends beyond thirty (30) days from the date the payment for that period is received. If a payment is delayed or fails and is subsequently received, the Billing Period it covers begins on the date the payment is actually received, rather than extending an earlier period.

4.3. Fees are exclusive of all applicable taxes, which you are responsible for paying unless otherwise stated.

4.4. Payments are processed by our third-party payment processor. We do not store your full credit card or bank account details. You agree not to hold us liable for payments that fail to reach us due to incorrect payment information or processor error. All aspects of payment processing are governed by our payment processor's own terms, and we are not responsible for any liability arising from the payment process, including fraudulent transactions or a declined transaction resulting from a pre-set payment limit.

Money-Back Guarantee

4.5. Goals, not guaranteed outcomes. Your individualized plan sets out target goals agreed with you at onboarding and recorded against your starting metrics. These are goals, not promised or guaranteed results. Individual results vary based on factors including starting point, genetics, medical history, sleep, stress, and adherence, and no specific outcome is warranted.

4.6. The Guarantee. If a Client meets the Adherence Standard defined in Section 4.7 for the full 60-day Guarantee Period and has not made measurable progress toward the target goals recorded at onboarding, the Client may request a refund of Fees paid during the Guarantee Period.

4.7. Adherence Standard. For purposes of Section 4.6, a Client meets the Adherence Standard if, over the Guarantee Period and as recorded through the Platform or other designated tracking means, the Client has: (i) completed and logged at least ninety percent (90%) of prescribed training sessions; (ii) completed one hundred percent (100%) of scheduled check-ins; and (iii) logged nutrition on at least eighty percent (80%) of days. Adherence is measured from the records in the tracking platform. A Client who does not meet all three thresholds does not qualify for a refund under this guarantee.

4.8. Guarantee Period and Claims. The 60-day Guarantee Period begins on your Program Start Date as defined in Section 4.13, not on the date of enrollment. Refund requests must be submitted in writing to ryan@ryanwilliams.online within fourteen (14) days after the end of the Guarantee Period. Approved refunds cover Fees paid during the Guarantee Period and will be returned by the original payment method within thirty (30) days of approval. This guarantee is offered at the Trainer's discretion and may be modified or discontinued for future enrollments at any time; the terms in effect on the date of your enrollment govern your guarantee.

Cancellation

4.9. Clients are billed on a recurring thirty (30) day basis as described in Section 4.1. To cancel, a Client must give notice before the next scheduled billing date, by emailing ryan@ryanwilliams.online or by using the cancellation function in the Platform. Either method is sufficient, and cancellation is effective when we receive the notice. Cancellation does not take effect immediately: your access to the Services continues through the end of the billing period already paid for. Once a payment has been processed, that payment is non-refundable except as expressly provided under Section 4.6 or Section 4.10, and no partial refunds are issued for the unused portion of a billing period.

4.10. Death or Incapacity. If a Client dies, or becomes physically unable to receive a substantial portion of the Services, the Client or their representative may cancel immediately by written notice to ryan@ryanwilliams.online, and we will refund the pro-rated portion of any Fees paid for Services not yet rendered.

4.11. Five-Day Right to Cancel. You may cancel this agreement, without penalty and without giving any reason, at any time before midnight on the fifth business day after the date you enroll, or after your Program Start Date if that is later. To cancel, email ryan@ryanwilliams.online or use the cancellation function in the Platform. Upon timely cancellation we will refund all Fees you have paid, in full, within thirty (30) days. This right applies to every Client regardless of the state in which you reside, and applies in addition to any longer or broader cancellation right your state's law may provide.

4.12. State Law Rights. We provide Services to Clients in many states. Where the law of the state in which you reside grants you cancellation, refund, notice, or auto-renewal rights that are greater than those set out in these Terms — including any statutory cooling-off period, any right to cancel following relocation or disability, any required renewal reminder, or any requirement that cancellation be available by a particular method — those rights apply to you and govern over any conflicting provision of these Terms, to the extent your state's law so requires. Nothing in these Terms waives, limits, or requires you to waive any right that your state's law makes non-waivable.

Onboarding, Health Screening and Program Start

4.13. Program Start Date. Your "Program Start Date" is the first day on which the Trainer makes your program available to you, following completion of onboarding under Section 4.14 and review of your screening responses under Section 4.15. Billing, the Guarantee Period, and your first Billing Period all run from the Program Start Date.

4.14. Onboarding. Within seven (7) days of enrollment, you must submit the intake forms, the physical activity readiness questionnaire, the health history questionnaire, and your starting metrics. The Trainer will review your responses promptly, and in no event later than three (3) business days after you submit them.

4.15. Screening Review and Prompt Refund. If your screening responses indicate that medical clearance is advisable before you begin, the Trainer will not begin your program, will cancel your enrollment, and will refund every fee you have paid in full — initiating the refund no later than the next business day after reviewing your responses. You do not need to request this refund and you are not required to give a reason. The Trainer will notify you by email, tell you what to discuss with your physician, and confirm that you are welcome to enroll again once you have written clearance. Funds are returned by your original payment method; the time for the refund to appear on your statement is set by your bank or card issuer and is outside the Trainer's control.

4.16. Re-enrolling after clearance. Once you have written clearance from a qualified physician, you may enroll again at any time. Your new enrollment is a fresh agreement: billing, the Guarantee Period, and your Billing Periods all run from the new Program Start Date, and the guarantee terms in effect on the date of that enrollment govern. The Trainer does not hold your money, hold your place, or charge you anything between a refund under Section 4.15 and a later re-enrollment.

4.17. No waiver of clearance. Medical clearance, where Section 4.15 indicates it is advisable, is not a step you may decline or sign away. The Trainer will not begin or continue a program on the basis of a client's agreement to accept the risk instead, and no acknowledgment, waiver, or release signed by you alters this. Separately, the Trainer is under no obligation to accept any Client, and may decline or discontinue Services at any time where it judges that participation would be unsafe, refunding any Fees paid for Services not yet rendered.

4.18. Changes in your health. If your health, medication, injury status, or physical condition changes while you are a Client such that medical clearance becomes advisable, the Trainer will pause your program and suspend billing until clearance is received. Any Fees already paid for the affected Billing Period are refunded on a pro-rated basis for Services not yet rendered.

5. Scope of Services and Availability

5.1. What we provide. The Trainer provides exercise programming and instruction, coaching on habits and lifestyle change, progress tracking, and general nutrition education — meaning information about food quality, balanced eating, portion awareness, hydration, and general dietary principles of the kind available to the public.

5.2. What we do not provide. The Trainer is a fitness coach and is not a registered dietitian, licensed nutritionist, physician, physical therapist, or mental health provider. The Trainer does not and will not: conduct a nutritional assessment to evaluate your individual nutrient needs or status; prescribe an individualized meal plan; provide medical nutrition therapy; recommend a specialty or therapeutic diet for a medical condition; advise on prescription medication or supplementation as treatment; diagnose any condition; or provide rehabilitation for an injury. Any nutrition information provided is general education, is not tailored to treat a medical condition, and is not a substitute for advice from a registered dietitian or physician.

5.3. Referral. Where your goals, medical history, or questions call for individualized nutrition planning, medical nutrition therapy, rehabilitation, or medical care, the Trainer will decline to advise and will refer you to an appropriately licensed professional. You agree to seek that advice from a licensed provider rather than relying on the Services.

5.4. State scope-of-practice rules. Nutrition practice is regulated differently in each state, and some states restrict individualized nutrition advice to licensed or certified practitioners. Nothing in the Services is intended to constitute the practice of dietetics or nutrition in any state. Where the law of your state restricts any element of the Services, we will limit the Services accordingly, and any provision of these Terms that would otherwise permit such an element does not apply to you.

5.5. Availability. We will take reasonable efforts to keep the Services operational and uninterrupted, but technical difficulties, maintenance, or events outside our control may cause temporary interruptions. We reserve the right to modify, suspend, or discontinue the Services, in whole or in part, with or without notice, without liability for any resulting direct or indirect consequences.

6. Health Screening, Assumption of Risk and Release

6.1. Required screening. Before beginning any program, every Client must complete a Physical Activity Readiness Questionnaire ("PAR-Q") and a health history questionnaire. You agree that the information you provide in these forms is true, accurate and complete, and that you will promptly notify the Trainer in writing of any change in your health, medication, injury status, or physical condition that occurs during the term of the Services. The Trainer may, at its discretion, decline to begin or continue a program, or require written medical clearance from a physician, based on your responses or on any change you report.

6.2. Medical clearance. You represent that you are physically able to participate in an exercise program. If your PAR-Q or health history responses indicate any condition for which medical clearance is advisable, you agree to obtain clearance from a qualified physician before beginning or continuing the program. You should stop exercising immediately and seek medical attention if you experience chest pain, dizziness, faintness, shortness of breath, joint or muscle pain, or any other concerning symptom.

6.3. Inherent risk. You acknowledge that physical exercise carries an inherent risk of injury — including muscle strain, sprain, fracture, heart attack, stroke, and in rare cases death — and that this risk exists even when exercise is performed correctly and under qualified supervision. This risk applies both to in-person sessions and to programs you perform on your own following instruction delivered online.

6.4. Assumption of risk and release. To the fullest extent permitted by Florida law, you voluntarily assume all risk of injury, damage or loss arising out of your participation in the Services, and you release and discharge RW Fitness LLC, its owners, members, employees and agents from all liability for any such injury, damage or loss, including liability arising from the ordinary negligence of the Trainer. This release does not extend to gross negligence, willful or wanton misconduct, or any liability that may not be released under Florida law.

6.5. Separate waiver for in-person sessions. Before a Client's first in-person session, the Trainer will require the Client to sign a separate, standalone liability waiver and informed consent form specific to in-person training. This Section 6 does not replace that document; the two are to be read together, and in the event of a conflict, the separately signed waiver governs as to in-person sessions.

7. User Content

7.1. You may create, post, share, or upload Content through the Services ("User Content"). You retain ownership of your User Content and are solely responsible for it and all risks associated with it.

7.2. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to copy and store it as a back-up in our systems. We will not distribute, publish, or process your User Content to third parties except as required by law or as separately consented to under Section 4 of the Privacy Policy (marketing and testimonial use).

7.3. You represent and warrant that you have full rights to grant the rights above, and that your User Content does not violate any third party's rights, including intellectual property or privacy rights.

7.4. We may (but are not obligated to) monitor or review User Content, and may refuse to upload, modify, or remove Content that violates these Terms, at our sole discretion.

7.5. You may not disclose the personal data of any person without their consent through your User Content.

8. Prohibited Conduct

You agree not to host, display, upload, publish, or transmit any Content that: belongs to another person without authorization; is harmful, harassing, defamatory, obscene, or unlawful; harms minors in any way; infringes any intellectual property right; violates any applicable law; impersonates another person; contains malicious code; creates liability for the Trainer; or constitutes unsolicited advertising, spam, or a pyramid scheme.

You also agree not to interfere with the proper working of the Services, attempt to bypass security measures, scrape Content, or reverse-engineer any part of the Services. If you believe Content available through the Services is inappropriate or infringing, contact us at ryan@ryanwilliams.online.

9. Force Majeure

We are not liable for failure or delay in performing our obligations under these Terms resulting from a Force Majeure Event — any cause beyond our reasonable control, including unavailability of communication systems, natural disaster, hurricane, strikes, government action, or platform outage (including outages of the Platform or our payment processor). Failure to make a payment is not a Force Majeure Event.

10. Client Representations

10.1. You represent that all information you provide is true, correct, and complete, including in the PAR-Q and health history questionnaire.

10.2. You represent that you are aware of and are not violating applicable laws governing your use of the Services.

11. Restriction on Use of Content

The Content provided through the Services is the exclusive property of the Trainer and is protected by applicable intellectual property laws. You may not copy, transmit, reproduce, publish, modify, or distribute it without express permission, and may use it only for your personal, non-commercial use. Feedback or suggestions you provide may be used by us without obligation or compensation to you.

12. Limitation of Liability

12.1. Without limiting the assumption of risk and release in Section 6, and to the fullest extent permitted by law, we are not liable for incidental, punitive, special, indirect, or consequential damages arising from your use of the Services.

12.2. We are not liable for indirect or consequential losses, including: loss of profits; loss of goodwill; loss of opportunities; or loss of data.

12.3. Cap on liability. Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Services, whether in contract, tort or otherwise, shall not exceed the total fees you paid to us in the six (6) months immediately preceding the event giving rise to the claim. This cap applies to the fullest extent permitted by law and does not apply to liability that cannot be limited under Florida law.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Trainer, its owners, members, employees, agents, and contractors from any claim or demand, including reasonable attorneys' fees, arising from your breach of these Terms, your use of the Services, your provision of inaccurate or incomplete health information, or your violation of any law or third-party right.

14. Geographical Extent

14.1. Online coaching is offered to Clients throughout the United States. In-person coaching is available only in and around Florida. We make no representation that our Services are appropriate or available for use outside the United States, and we do not offer the Services to residents of any jurisdiction in which doing so would require a license or registration we do not hold.

14.2. If you access the Services from outside the United States, you are solely responsible for compliance with local laws.

15. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles. This choice of law does not deprive you of the protection of any provision of the law of the state in which you reside that cannot be derogated from by agreement, including that state's consumer protection, health club services, and automatic renewal statutes. Where such a provision conflicts with these Terms, that provision governs as to you, and the remainder of these Terms continues in effect.

16. Complaints

Any complaint or concern regarding the Services, Content, a breach of these Terms, or intellectual property should be sent to ryan@ryanwilliams.online. We will acknowledge your complaint and work with you in good faith to resolve it. You agree to raise any dispute with us directly before commencing formal proceedings.

17. Dispute Resolution and Arbitration

17.1. Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury hear your claims.

17.2. Informal resolution first. Before initiating arbitration, you agree to contact us at ryan@ryanwilliams.online and allow sixty (60) days for the parties to attempt to resolve the dispute informally.

17.3. Binding arbitration. If the dispute is not resolved informally, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will be conducted by telephone, videoconference, or on written submissions wherever the AAA rules permit. If an in-person hearing is required, it will take place in the federal judicial district in which you reside, or in Pinellas County, Florida if you so elect. We will pay the filing, administration, and arbitrator fees to the extent the AAA Consumer Arbitration Rules require, and will not seek our attorneys' fees from you unless the arbitrator finds your claim frivolous. The arbitrator's award may be entered in any court of competent jurisdiction.

17.4. Class action waiver. You and the Trainer agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

17.5. Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights. If Section 17.4 is found unenforceable, the remainder of Section 17 is void, and any dispute shall be resolved in the state or federal courts located in Pinellas County, Florida, to whose exclusive jurisdiction the parties consent.

18. Miscellaneous

No Waiver: Our failure to exercise a right under these Terms does not waive that right.

Severability: If any provision is found invalid, the remaining provisions remain in full effect.

Entire Agreement: These Terms, together with the Privacy Policy, the Disclaimer, and any separately signed in-person waiver, constitute the entire agreement between you and the Trainer regarding the Services.

Term and Termination: These Terms remain in force until updated or terminated by us or until you stop using the Services, subject to any outstanding payment obligations and to the survival provision in Section 3.4.

Amendments: We may modify these Terms at any time, effective upon posting an updated version. We will notify you of material amendments if we have your email address. Continued use after changes constitutes acceptance.

Breach of Terms: If we believe you have violated these Terms, we may, at our discretion: issue a warning; suspend or delete your Account; prohibit your use of the Services; report you to relevant authorities; or pursue legal action.

Assignment: You may not assign your rights under these Terms. We may transfer our rights and obligations to a third party without prior notice. If you disagree, you may terminate these Terms by deleting your Account and discontinuing use of the Services.

It is clarified that the Disclaimer and Privacy Policy provided separately form an integral part of these Terms of Use and should be read together.

RW FITNESS LLC

Disclaimer

No Medical Advice

Nothing provided through the Services constitutes medical advice, diagnosis, or treatment. RW Fitness LLC is a fitness coaching business, not a medical provider, and the NASM certification held by its trainer is a fitness credential, not a medical, dietetic, or nutrition license. The scope and limits of what we provide are set out in Section 5 of the Terms of Use; nutrition information provided through the Services is general education and is not an individualized meal plan, a nutritional assessment, or medical nutrition therapy. Information is provided for general fitness and educational purposes only and should not be relied upon in place of consultation with a qualified physician, registered dietitian, or other licensed healthcare professional, particularly regarding any pre-existing health condition, medication, injury, pregnancy, or eating concern. Always consult your physician before beginning any exercise or nutrition program.

No Warranties

In addition to the disclaimers provided in the Terms of Use, the Services and all Content are provided on an "as is" and "as available" basis, without representations or warranties of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. RW Fitness LLC ("Trainer", "we", "our" or "us") makes no representations or warranties regarding the Services or the information provided through them. Without limiting the foregoing, we do not warrant that the Services will be constantly available, or that information provided through the Services is complete, accurate, or not misleading.

Results Disclaimer

Individual results vary. Any results, testimonials, or progress described on our website, in marketing materials, or by other clients are individual experiences and are not a promise, guarantee, or prediction of the results you will achieve.
